End-User Licence Agreement

1. Grant
Subject to your compliance with this Agreement and payment of the applicable fees, MaeWest grants you a non-exclusive, non-transferable licence to install and use the MaeWest software ("Software") for your internal business purposes.
2. Tier definitions
- Desktop (Essentials / Professional / Compliance) — perpetual licence for a single primary user on a nominated Windows machine, plus 12 months of bug-fix updates from the purchase date.
- Office (Starter / Professional) & Enterprise QHSE — annual subscription per named Office user, with a fixed number of connected Field client installs as stated on the product page.
- Field client — companion install for a single surveyor or field user, provisioned and paired against a specific MaeWest Office deployment by the customer's Office administrator.
- FSO & Trader — charter-linked seats: 1 FSO seat per vessel plus 1 Trader seat for the shore-side counterparty, reconfigurable at charter roll-over.
3. Permitted use
You may install and use the Software on the number of machines and by the number of users allowed by your tier. You may create backups of the installer and your data. Field submissions and Office records may be shared internally as part of normal operations.
4. Restrictions
You will not: (a) copy, sublicence, rent, lease, sell, or transfer the Software to third parties; (b) reverse engineer, decompile, or disassemble the Software except to the extent applicable law expressly permits; (c) remove or alter any copyright, licence, or audit-trail information; (d) use the Software to falsify inspection, quantity, safety, or QHSE records; (e) attempt to defeat the licence-verification or pairing-key controls.
5. Data and provenance
The Software maintains a tamper-evident SHA-256 audit chain over operational changes. You acknowledge that this audit chain is a feature of the Software and agree not to modify or suppress it. You retain ownership of the operational data you enter into the Software.
6. Third-party components
The Software may install or rely on third-party redistributables (for example the .NET Desktop Runtime, SQL Server Express, and WireGuard for Windows). Each is used under its own vendor licence, which is presented or referenced during installation.
7. Updates
Desktop tiers include bug-fix updates for 12 months from the purchase date. Feature upgrades released after that period may require a paid upgrade. Office and Enterprise subscriptions include updates for as long as the subscription is current.
8. Termination
This licence terminates automatically if you materially breach it, or if a subscription lapses. On termination you must stop using the Software; audit-trail records already produced remain valid and may be retained by your organisation for compliance purposes.
9. Warranty disclaimer
The Software is provided "as is" to the maximum extent permitted by law. MaeWest does not warrant that operational outputs will be error-free or fit for a specific commercial decision. Users are responsible for verifying reports before relying on them in commercial or regulatory contexts.
10. Liability
To the maximum extent permitted by law, MaeWest is not liable for indirect, incidental, or consequential loss, or for operational decisions taken by users based on outputs produced by the Software. Nothing in this Agreement limits liability that cannot be limited under applicable law.
11. Assignment
You may not assign this Agreement without MaeWest's written consent, except that a subscription may be reassigned to a corporate successor of the licensed organisation on notice to MaeWest.
12. Governing law
This Agreement is governed by the laws of England and Wales.
